Nevada:  Annual List of Officers list names of Director and Officers.  Annual Nevada state business license requires Social Security Numbers of owners, percentage of ownership, date of birth, and other information.   Wyoming: Annual Report list names of Director and Officers.

Nevada State Business License requires your name, address, date of birth, Social Security Number, percentage of ownership in the company, identity of owners.  Proof here.  If you don't file the business license, then you risk losing limited liability because the corporate veil may be pierced.   Wyoming doesn't collect information on the owners of any corporation or LLC.  No business license required by the State of Wyoming.
Nevada promises not to share information with the IRS.  This is a play on words.  Nevada SELLS their database on Nevada corporations and Nevada LLC's, such as to IRB and Choicepoint.  These companies then sell their organized data to the IRS and other agencies.  Besides, IRS agents know how to search for information on the Nevada websites.    Wyoming doesn't collect information company owners.  They only collect information on the Director and Officer's of the Wyoming corporation, or Manager of the Wyoming LLC.
Bear Shares:  Is this an asset protection solution in Nevada or Wyoming?  No.

If looks, acts and quacks like a duck, it's a duck...not a goose.  In other words, if you derive benefit from the company, if you are the signer on the account, if you call the shots, if the provider of the company services points to you, then the company is yours.  The issuance of bearer shares means nothing.  Bearer shares are not the answer.  A registered share may be turned into a bearer share by simply signing the back of the certificate many argue.  In that sense, any registered share (share with your name on it) may be converted to a bearer certificate.  Nevada and Wyoming don't require certification of shares.  This means that the share doesn't need to be issued in paper form.

When it comes down to it, the situation is what it is.  If you act like you own and derive benefit from it as an owner, it's yours whether you have bearer shares, registered shares or mickey mouse shares.  It's not what you call it....it is what it is.

Nevada is a magnet for scams and schemes.  As a result, Nevada companies are audited four times as often and banks are shaky about lending to a Nevada corporation.  If you're associated with Casinos and prostitutes, the banks and the government aren't going to like you.  Nevada is also know for mining, prostitution, and entertainment.  Nevada's corporation code was meant to hide the true owners of the casinos, brothels, mining operations and assets of organized crime.   Known for the defense industry, guns, hunting, fishing, ranching, mining, rodeos, and a respect for property rights.  People like to be left alone in Wyoming.  This sentiment is reflected in the corporation code.

CORPORATE CREDIT ISSUES:  NOMINEE OFFICER SERVICES & VIRTUAL OFFICE?

If you're building corporate credit, don't use a virtual office solution in any state.  When too many companies share the same address, DNB and others flag that address.  As a result, the chances of obtaining corporate credit when you're using a virtual office or using a nominee officer/contract officer solution.  Also, bankers like to see your name on the company.  Using someone else on the public record for the company confuses them and makes them feel nervous about lending the company any money.  Go here for a shelf corporation:  ShelfCorporation.us or Assetprofile.com
